1. Introduction

Welcome to Atendeo ("we," "us," or "our"). By accessing or using our platform, you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of these Terms, you may not use our services.

2. Acceptance of Terms

By using our platform, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

3. Platform Description

Atendeo provides an event management platform that allows users to create events, manage RSVPs, and implement a fee-based attendance system designed to reduce no-shows and compensate attendees for their commitment.

4. User Accounts

You must create an account to use our services. You are responsible for maintaining the confidentiality of your account information.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

5. Event Creation

Event Organizers may create events through our platform, setting details such as date, time, location, and RSVP fees.

Event Organizers are responsible for the accuracy of event information and for ensuring their events comply with all applicable laws and regulations.

6. RSVP Fees

Event Organizers may set RSVP fees for their events. These fees are held in the platform's wallet system until the event concludes.

By RSVPing to an event with a fee, attendees agree to pay the specified amount.

RSVP fees are processed through our secure wallet system, which acts as an escrow service.

7. Flake Protection and Fee Redistribution

If an attendee fails to show up to an event ("flakes"), 80% of their RSVP fee will be redistributed among the attending participants.

The remaining 20% of the flaked attendee's fee will be retained by Atendeo as a service fee.

Attending participants will receive their share of redistributed fees automatically through the platform's wallet system.

8. Cancellations and Refunds

Event Cancellation: If an Event Organizer cancels an event, all attendees will receive a full refund of their RSVP fees.

Attendee Cancellation: If an attendee cancels their RSVP before the event starts, they will receive a partial refund of their RSVP fee.

Refunds will be processed through the platform's wallet system within 7 business days.

9. Wallet System

Users must add funds to their platform wallet to pay RSVP fees.

Users may withdraw funds from their wallet at any time, subject to any pending event commitments.

Atendeo is not a bank and wallet funds are not insured deposits.

10. Prohibited Activities

Users agree not to engage in activities including but not limited to:

• Creating fraudulent events or RSVPs
• Attempting to manipulate the fee redistribution system
• Using the platform for any illegal activities

11. Intellectual Property

All content on the platform, including but not limited to text, graphics, logos, videos and software, is the property of Atendeo and protected by copyright laws.

12. Limitation of Liability

Atendeo is not responsible for the actions of event organizers or attendees. We do not guarantee that events will occur as described or that all attendees will show up.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Continued use of the platform after changes constitutes acceptance of the new Terms.

14. Termination

We reserve the right to terminate or suspend your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

We reserve the right to terminate and cancel events created if suspected to be against the Terms and/or is harmfulful to others, us, or third parties and does not guarantee RSVP safety.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
